1. Grant of License
Steel Genie, LLC ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable license to use the Steel Genie software ("Software") subject to the terms and conditions of this Agreement. This license allows you to access and use the Software for your internal business purposes in accordance with your subscription plan.
2. Scope of Use
Permitted Uses
- Use the Software for structural steel estimation and project management
- Process and analyze construction drawings and CAD files
- Generate quantity takeoffs, 3D models, and IFC files
- Access the Software through authorized user accounts
- Export data in supported formats for integration with other software
Restrictions
- You may not copy, modify, or create derivative works of the Software
- You may not reverse engineer, decompile, or disassemble the Software
- You may not distribute, sell, lease, or sublicense the Software
- You may not remove or alter any proprietary notices or labels
- You may not use the Software for any unlawful purpose
3. Subscription and Payment
Access to the Software is provided on a subscription basis. Your rights to use the Software are contingent upon maintaining an active, paid subscription. Upon termination or expiration of your subscription, your license to use the Software will automatically terminate.
4. User Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
5. Intellectual Property
Licensor's Rights
The Software and all related intellectual property rights are and remain the exclusive property of Steel Genie, LLC. This Agreement does not grant you any ownership rights in the Software.
Your Data
You retain all rights to the data, files, and content you upload to or create using the Software. Steel Genie, LLC claims no ownership rights to your data, except as necessary to provide the Software services.
6. Updates and Support
Steel Genie, LLC may provide updates, upgrades, and support services at its discretion. While we strive to maintain and improve the Software, we do not guarantee that updates will be provided or that the Software will be error-free.
7. Data Processing and Privacy
Your use of the Software is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Software, you consent to the data practices described in our Privacy Policy.
8. Termination
Termination by You
You may terminate this Agreement at any time by canceling your subscription and ceasing to use the Software.
Termination by Us
We may terminate this Agreement immediately if you breach any of its terms or for any other reason with or without notice.
Effect of Termination
Upon termination, your right to use the Software will cease immediately. You must delete all copies of the Software in your possession or control.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STEEL GENIE, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
IN NO EVENT SHALL STEEL GENIE, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.
11. Export Compliance
The Software may be subject to export laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including those of the United States.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of South Carolina, USA, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in South Carolina.
13. Entire Agreement
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Steel Genie, LLC regarding the Software and supersedes all prior agreements and understandings.
14. Amendments
Steel Genie, LLC reserves the right to modify this Agreement at any time. We will notify you of any changes by posting the updated Agreement on our website. Your continued use of the Software after such changes constitutes acceptance of the modified Agreement.
